EasyBMS Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the "Terms" or "Agreement") are a binding contract between you ("you") and W2JKT Software LLC, a North Carolina limited liability company ("W2JKT Software LLC," "we," "us," or "our"), governing your use of the EasyBMS mobile application and the related monitoring and cloud services described below (together, the "Software").
PLEASE READ CAREFULLY. By installing, accessing, or using the Software, or by tapping "I Agree," you accept these Terms and our Privacy Policy. If you do not agree, do not install or use the Software. Sections 11 (Disclaimer of Warranties), 12 (Limitation of Liability), and 13 (Binding Arbitration & Class-Action Waiver) limit our liability and affect your legal rights, including how disputes are resolved.
1. The Software
"Software" means the EasyBMS application for Android (the "App") together with any associated monitoring server software ("easybmsd") and the cloud services operated by W2JKT Software LLC that the App works with (the "Cloud Services"), plus updates, documentation, and content we provide. EasyBMS is a battery-monitoring tool that communicates with battery management systems (BMS), shunts, and chargers over Bluetooth and, optionally, with monitoring servers you configure.
2. Eligibility & Acceptance
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. By using the Software you represent that you meet these requirements and that the information you provide is accurate. If you use the Software on behalf of an organization, you represent that you are authorized to bind it, and "you" includes that organization.
3. License Grant
Subject to your compliance with these Terms, W2JKT Software LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices you own or control, and to use the Cloud Services, solely for your own lawful battery-monitoring purposes. Your use of the App through the Google Play Store is also subject to the Google Play Terms of Service. We reserve all rights not expressly granted.
4. License Restrictions
You will not, and will not permit others to: (a) copy, modify, translate, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute, or otherwise commercially exploit the Software; (d) remove or alter any proprietary notices; (e) use the Software to build a competing product; (f) circumvent or disable any license, security, or usage-control features; (g) share your account credentials, or use a subscription, so as to provide paid features to anyone other than yourself (see Section 5, Personal use of subscriptions); or (h) use the Software in violation of any applicable law or third-party right. These restrictions supplement the proprietary license accompanying the Software.
5. Subscriptions, Billing & Auto-Renewal
EasyBMS offers a free tier and paid subscription tiers (currently Pro, Platinum, and Server) that unlock additional features.
- Auto-renewing subscriptions. Paid tiers are sold as monthly auto-renewing subscriptions billed through your Google Play account. Your subscription automatically renews each month at the then-current price until you cancel, and your payment method is charged at the start of each billing period.
- Prices. The current tiers and prices are shown in the App and on the Google Play listing before you subscribe. Prices and features may change; we will give notice of changes as required, and price changes take effect on your next renewal.
- Cancellation. You can manage or cancel a subscription anytime in Google Play (Subscriptions). Cancellation stops future renewals and takes effect at the end of the current billing period; you retain paid features until then.
- Refunds. Payments are processed by Google Play and refunds are handled under Google Play's policies. Except where required by law, fees are non-refundable and partial periods are not pro-rated.
- Personal use of subscriptions. A subscription is licensed to the Google account that purchased it, for one person's use across their own devices. You may install and sign in on as many of your own devices as you like. You may not share your EasyBMS account credentials, or your subscription, to give paid features to other people or to devices that are not yours. To enforce this we count the distinct app installations signed in to your account that do not report holding your subscription, and we may review, contact you about, or — for repeated or substantial sharing — suspend or terminate an account that appears to be shared. We will normally contact you first: if the installations are all yours, tell us and we will sort it out.
- Entitlement. Your feature tier is determined by your active Google Play purchases. We are not responsible for charges, billing, or refunds made through the Google Play platform.
6. Assumption of Risk — Battery Systems
EasyBMS is not a safety system and does not provide or guarantee functional safety. It is a monitoring and convenience tool. It is not a safety instrumented system, protective device, alarm system, or safety-related control system; it performs no safety function and constitutes no protective layer. It has not been designed, tested, assessed, or certified to any functional-safety or safety-integrity standard (including IEC 61508, IEC 61511, ISO 13849, ISO 26262, or any comparable standard), and no safety integrity level (SIL), performance level (PL), or equivalent rating is claimed, implied, or achieved. Nothing the Software produces — including any reading, chart, status indicator, notification, alert, or text message — may be relied upon as a protective, preventive, or emergency-response function.
Battery systems — especially lithium-based batteries — can be dangerous. Incorrect configuration, control commands, or reliance on inaccurate readings can cause fire, explosion, property damage, serious injury, or death.
Notifications and text messages are described as urgent because the underlying battery condition may be hazardous, not because the Software protects you from it. Delivery is best-effort and depends on your device and its power, permission, and connectivity state, your mobile carrier, Google Play services, and network availability — any of which may delay a message, deliver it out of order, or fail to deliver it at all, with or without notice to you. A notification or message that is late, incorrect, or never delivered is a foreseeable characteristic of the Software, not a defect, and you must not configure your system, or conduct yourself, on the assumption that one will arrive.
You acknowledge and agree that:
- Optional write/control features (for example, enabling or disabling charge/discharge MOSFETs, changing protection thresholds, or resetting/calibrating state-of-charge) and experimental or unverified device drivers are used entirely at your own risk. In the App you must affirmatively acknowledge these risks before enabling such features.
- EasyBMS may display inaccurate, delayed, or incomplete data, or may fail to connect or alert, and must not be relied upon as your sole or primary means of battery protection, safety, or monitoring. You are responsible for maintaining independent, properly rated battery protection (such as a correctly configured BMS, fusing, and other safeguards) and for following your battery and equipment manufacturers' instructions.
- You are solely responsible for your batteries, equipment, configurations, and the consequences of any commands you send or settings you change, and for compliance with all applicable safety codes and manufacturer guidance.
7. Acceptable Use
You will not misuse the Software, including by: interfering with or disrupting the Software or servers; attempting to gain unauthorized access to any system, account, or data; probing devices you do not own or are not authorized to access; uploading malware; or using the Software to violate any law or regulation. If you use amateur-radio features (such as APRS), you are responsible for operating in accordance with your license and applicable rules, including FCC Part 97 in the United States.
8. Intellectual Property
The Software is licensed, not sold. W2JKT Software LLC and its licensors own all right, title, and interest in and to the Software, including all intellectual-property rights. "W2JKT," "EasyBMS," and related marks and logos are marks of their respective owners; nothing here grants you any right to use them. If you send us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or obligation to you.
9. Third-Party Components & Services
The Software includes third-party open-source components governed by their own licenses (see the
Software's NOTICE file) and interoperates with third-party services, including
Google Play (billing and distribution), Anthropic, PBC (AI-assisted review of bug reports you
choose to submit), and the public APRS-IS network (if you enable APRS). Your use of those services
is subject to their terms, and we are not responsible for them.
10. Privacy
Our Privacy Policy describes what the App and servers collect, store, transmit, and never collect, and is incorporated into these Terms by reference.
To operate the subscription-sharing check described in Section 5, each installation of the App generates a random identifier that is sent when you sign in, together with an indication of whether that device holds your subscription. The identifier is not derived from and does not reveal any device, hardware, advertising, or Google account identifier. It is randomly generated on that installation. When you sign that installation out, our record of it is deleted along with the session; the identifier remains on your device so the same installation is recognised if you sign in again, and it is gone when the App is uninstalled or its data cleared.
11. Disclaimer of Warranties
The Software is provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. To the fullest extent permitted by law, W2JKT Software LLC and its suppliers and licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Software will be accurate, reliable, uninterrupted, secure, error-free, or that defects will be corrected, or that it will meet your requirements or operate with any particular hardware or device. Experimental features and unverified drivers are provided for evaluation only, with no warranty whatsoever. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
12. Limitation of Liability
To the fullest extent permitted by law, in no event will W2JKT Software LLC or its members, officers, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, or for any damage to or loss of batteries, equipment, or other property, or for personal injury, however caused and under any theory of liability, arising out of or relating to the Software or these Terms, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, W2JKT Software LLC's total aggregate liability for all claims arising out of or relating to the Software or these Terms will not exceed the greater of (a) the total amounts you paid to W2JKT Software LLC for the Software in the twelve (12) months before the event giving rise to the claim, or (b) US$50.
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
13. Binding Arbitration & Class-Action Waiver
Please read this section carefully — it affects your legal rights.
- Informal resolution first. Before starting an arbitration, you agree to try to resolve the dispute informally by contacting us at easybms@w2jkt.com and giving us 60 days to resolve it.
- Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to the Software or these Terms will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this section. Arbitration may be conducted by telephone, video, written submissions, or in person in the U.S. state of North Carolina, as the AAA rules and the arbitrator provide.
- Class-action waiver. You and W2JKT Software LLC agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
- 30-day opt-out. You may opt out of this arbitration and class-waiver section by emailing easybms@w2jkt.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.
- Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief to protect intellectual-property rights, in a court of competent jurisdiction.
- Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court; the rest of this section remains in effect.
14. Term & Termination
These Terms apply while you use the Software. You may stop using the Software and uninstall the App at any time. We may suspend or terminate your access (in whole or in part), with or without notice, if you breach these Terms or if we discontinue the Software. On termination, the license in Section 3 ends and you must stop using and delete the Software. Sections that by their nature should survive — including Sections 4, 6, and 8–16 — survive termination.
15. Changes to These Terms
We may update these Terms from time to time. The "last updated" date above reflects the current version. For material changes we will provide reasonable notice (for example, in the App or on this page). Your continued use of the Software after changes take effect constitutes acceptance of the updated Terms; if you do not agree, stop using the Software.
16. Governing Law & Miscellaneous
- Governing law. These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 13. Subject to Section 13, the exclusive venue for any permitted court action is the state and federal courts located in North Carolina, and you consent to their jurisdiction.
- Entire agreement. These Terms, the Privacy Policy, and the proprietary license accompanying the Software are the entire agreement between you and W2JKT Software LLC regarding the Software and supersede prior agreements on that subject.
- Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- U.S. government / export. You will comply with applicable export-control and sanctions laws and will not use the Software where prohibited.
- Apple/Google app-store terms. To the extent the App is obtained through an app store, that store's additional terms also apply, and the store is not a party to these Terms and has no obligation to provide support or remedies for the Software.
